Terms and Conditions

General

All orders that are accepted by ROBOTmaker, trading as ‘robotmaker.eu’, ("ROBOTmaker") on these conditions of sale which supersede any other terms previously published, unless otherwise specifically agreed in writing on ROBOTmaker headed documentation by a Director of ROBOTmaker, these conditions of sale override and exclude any other terms stipulated or incorporated or referred to by the Customer, whether in the purchase order or during any negotiations or any course of dealing established between ROBOTmaker and the Customer, and constitute the entire understanding between ROBOTmaker and the Customer for the sale of products or services. Additional conditions of sale apply to export orders from Germany.

Payment Terms

As we are a small organization we need to keep the payment process as simple as possible. We therefore have decided to outsource the processing of ALL our on-line transactions to PayPal. We apologise that at this point in time we can't handle any other form of payment method.

PayPal ensures that the payment process is carried out in a secure manner and who also offer guarantees. Please refer to their website for more details.

Payment terms are strictly "payment in advance". We don't have any capacity to deal with credit sales or customer accounts at this point in time. 

Payment Methods

ROBOTmaker offer the ease-of-use PayPal payment methods. PayPal in turn offers additional payment methods (e.g. credit cards, EC, bank transfer, etc).  

The payment methods offered may vary from country to country, so please refer to your local PayPal website for details. At this point in time we cannot supply goods on credit. Payment terms are strictly "payment in advance". We don't have any capacity to deal with credit sales or customer accounts at this point in time. We appreciate this may pose some educational institutes some challenges,  but as we are working on alternative solutions. 

Invoices 

Payment is carried out via the PayPal portal and at the same time you'll receive an invoice directly from the PayPal portal. This is the only invoice you'll receive.  A packing list / payment receipt will be shipped with the order. 

The base currency for all transactions is in Euro (€). PayPal may offer alternative currencies on the local PayPal website. The conversion rates from Euro to your local currency is according to PayPal's conversion rates.

Prices 

ROBOTmaker reserves the right to alter prices at any time without prior notice. In general, prices are reviewed every 6 months except in the case of products subject to high price volatility over a shorter period e.g. certain sensor  products. All prices are in € EURO 

All product prices displayed or quoted are without shipping sharges, insurance (see postage costs at the bottom of ordering page) and any local import duty / taxes that may be applied in your country. Incoterms: EXW. Please REMEMBER to add shipping costs using the links at the bottom.

VAT

As ROBOTmaker is a startup company,  our turnover is still predicted to be below the legal requirement for VAT registration during this financial year. We have therefore decided NOT to register for VAT at this point in time. In this respect we do not charge any VAT on orders. This also means that invoices will not show any VAT charges, as you haven't paid any. 

What is the difference? For the private user or for companies (within the EU) that are not VAT registered ,  then there is no main difference for you. You basically don't need to pay additional VAT charges,  on top of the product prices shown on this website. For companies that are VAT registered, it means you won't be able to reclaim any VAT back,  because no VAT  has in fact been paid. The disadvantages for VAT registered companies is that arguable our gross prices could be lower if we were to be VAT registered, as our own VAT costs could have been reclaimed. For companies outside the EU, you may be charged import duties / taxes.

VAT registration number: As we are not registered for VAT, we don't have a VAT registration number. We are therefore not able to issue a VAT invoice number. 

To comply with the VAT legal requirements,  we reserve the right to charge for VAT should our forecasted turnover during the next year  meet the requirements for VAT registration. 

Offers and Acceptance

No obligation shall arise as a result of a catalogue entry, quotation or any other offer, until ROBOTmaker accepts the order from a Customer seeking to make a purchase.

Orders

Where possible orders should be made online using. For more complex combination of components we accept orders via email. In this case. please use ROBOTmaker’s order codes. We will then request PayPal to issue an invoice to your PayPal registered email address. We regret that we cannot accept telephone orders.

ROBOTmaker reserve the right to deliver part orders or hold orders, until all items are available as required. PayPal charges are made at the time of order and therefore can be refunded if items are delay or on hold, unless you have requested ROBOTmaker to build a special order. 

No order may be cancelled without the previous written consent of ROBOTmaker on its headed documentation. In the event of part cancellation ROBOTmaker reserves the right to charge the Customer for any difference in selling price applicable to the quantity dispatched up to the time of cancellation.

Inspection, Transit Delays and Non-Delivery

ROBOTmaker will use reasonable endeavours to meet delivery estimates but cannot accept any liability whatsoever for failure to do so however arising. Failure to meet a delivery date where deliveries are by installment shall not prejudice ROBOTmaker’s right to make further deliveries by installment under that contract. The Customer must inspect the products as soon as reasonably practicable after direct delivery or purchase from a resellers and shall within 5 working days of such delivery give notice to ROBOTmaker in detail of any defect in the products or of any other complaint which the Customer may wish to make about ROBOTmaker’s products.

No claim in respect of non-delivery of products will be considered unless written notification is given to ROBOTmaker within 5 days from the date the products are invoiced.

Ownership

1. The products shall be at the Customer’s risk as from delivery.
2. In spite of delivery having been made property in the products shall not pass from ROBOTmaker until:
   1. The Customer shall have paid the price in full; and
   2. No other sums whatever shall be due from the Customer to ROBOTmaker.

General Descriptive Matter

Whilst every endeavour is made to ensure accuracy, all specifications, illustrations or other details contained in the website, manuals or any price list or advertising material or otherwise communicated to the Customer are intended merely to present a general idea of the product and nothing contained in any of them shall form part of the contract between ROBOTmaker and the Customer.

If the description of any products not of ROBOTmaker’s manufacture contained in any correspondence, advertising material, invoice or the current catalogue varies from that of the manufacturer’s description, the manufacturer’s description will be deemed to be the correct description and shall take precedence over ROBOTmaker’s description. The manufacturer’s description is available from ROBOTmaker on request.

Unless any product performance figures, tolerances or characteristics have been specifically and expressly warranted by ROBOTmaker in writing on ROBOTmaker headed documentation, ROBOTmaker shall be under no liability whatsoever for any failure to attain such figures whether attributable to ROBOTmaker’s negligence or otherwise. The responsibility for ensuring that products are sufficient and suitable for the Customer’s requirements is the Customer’s sole responsibility save insofar as ROBOTmaker have specifically advised the Customer in writing on ROBOTmaker headed documentation that the products are sufficient and suitable for the Customer’s purposes having been fully and accurately advised by the Customer of his requirements.

Country of Origin

Products listed in the current website and offered for sale by ROBOTmaker may originate from a Non-EC source. Unless otherwise confirmed by ROBOTmaker in writing, nothing published by ROBOTmaker is to be taken as representation of the source of origin, manufacture or production of the products or any part thereof.

Warranty

ROBOTmaker warrants that it will, at its option, replace products supplied by ROBOTmaker in which under proper use defects appear, or repair the same, or refund or credit the purchase price thereof, subject to the claim being made in writing to ROBOTmaker within 1 months after dispatch or collection, or such other period as may be indicated by ROBOTmaker for specific products from time to time, providing that products or parts to which the claim relates are returned to ROBOTmaker within that period suitably packaged and carriage paid with all associated parts, accessories and literature and, where relevant, in accordance with any particular instructions which ROBOTmaker may have notified to the Customer at the date of sale.

Returned products together with all associated parts and literature must be accompanied by a proof of purchase such as a  receipt or an invoice in respect of the products and details of the nature of any claimed defect together with such further information as ROBOTmaker may at the time of sale have stipulated. Any replaced products shall become the property of ROBOTmaker.

Subject as expressly provided in these terms and conditions, and except where the products are sold to a person dealing as a consumer (within the meaning of the Unfair Contract Terms Act 1977), all warranties, conditions or other terms implied by statute or common law are excluded to the fullest extent permitted by law.

Returns / Shortages

We are committed to customer satisfaction. If you are not completely satisfied with your purchase please email us with details. We will then arrange for you to return the goods to us, and we will either exchange the goods, provide a credit note or issue a full refund. Please note that all returns/shortages must be reported within 5 days of receipt.

A small handling charge may be made for incorrectly ordered parts which are subsequently returned.

* Returned goods must be in the received condition, in all original packaging. * Self-assembly kits and software must be unopened and/or unassembled. * ICs / microcontrollers cannot be returned after soldering.

This does not affect your statutory rights. 

Intellectual Property and Information

1. ROBOTmaker take all reasonable steps in the course of business to ensure that the products do not infringe any patent, design, trademark, copyright or any other rights of third parties.
2. ROBOTmaker own full copyright in respect of the website, manuals, catalogue and any other catalogues published in paper or electronic form such as CD-ROM or the Internet by ROBOTmaker. The reproduction, storage in a retrieval system, or transmission, in any form or by any means, electronic, mechanical, photocopying, recording or otherwise, in part or in whole, is prohibited without ROBOTmaker’s prior written consent.
3. Notwithstanding any other term of these conditions of sale, title in any software program that forms part of the products purchased is retained and will not pass to the Customer. Such software programs may only be used in the products and must not be copied or altered or otherwise modified by the Customer.
4. ROBOTmaker reserve the right to record and use customer information supplied by the customer including telephone conversations with the customer.

Limitation of Liability

1. The Customer will be responsible for ensuring the fitness for purpose of the products for the Customer’s application.
2. ROBOTmaker accepts no liability whatsoever or howsoever arising in respect of loss, damage or expense arising from errors in information or advice provided whether or not due to ROBOTmaker’s negligence or that of its employees, agents or sub-contractors save for any loss or damage arising from personal injury.
3. ROBOTmaker shall not be liable to the Customer by reason of any representation, or any implied warranty, condition or other term, or any duty at common law, or under the express terms of contract with the Customer, for any indirect, special or consequential loss or damage (whether for loss of profit or otherwise), costs, expenses or other claims for compensation whatsoever (whether caused by the negligence of ROBOTmaker, its employees or agents or otherwise) which arise out of or in connection with the supply of the products or their use or resale by the Customer.
4. The entire liability of ROBOTmaker under or in connection with the contract with the Customer shall not exceed the price of the products except as expressly provided in these terms and conditions.

ROBOTmaker shall not be liable to the Customer or be deemed to be in breach of contract by reason of any delay in performing, or any failure to perform, any of ROBOTmaker’s obligations in relation to the products, if the delay or failure was due to any cause beyond ROBOTmaker’s reasonable control. Without prejudice to the generality of the foregoing, the following shall be regarded as causes beyond ROBOTmaker’s reasonable control:

1. act of God, explosion, flood, tempest, fire or accident;
2. war or threat of war, sabotage, insurrection, civil disturbance or requisition;
3. acts, restrictions, regulations, bye-laws, prohibitions or measures of any kind on the part of any governmental, parliamentary or local authority;
4. import or export regulations or embargoes;
5. strikes, lock-outs or other industrial actions or trade disputes (whether involving employees of ROBOTmaker or of a third party);
6. difficulties in obtaining raw materials, labour, fuel, parts or machinery or products produced by our suppliers;
7. power failure or breakdown in machinery.

Any sales transacted by ROBOTmaker , is to be governed solely by German Law and the parties agree to submit to the exclusive jurisdiction of the German courts.

Consumer Protection

Nothing contained herein shall affect a Customer’s statutory rights. Particular reference is made to clauses marked *.
